Izvestia published an author's column by Alexander Panin, dedicated to the draft law on new requirements for the management of public companies.

The project proposes to limit the opportunities for unscrupulous persons to occupy senior positions in such companies - for example, to establish a period of ineligibility for those convicted of intentional crimes or brought to subsidiary liability.

Alexander, in his column, gives the amendments an expert assessment and considers examples when, by virtue of the proposed law, the dayily mistakes of a top manager might cost him his position.

The bankrupt company inappropriately spent financing received under equity participation agreements in construction. As a result, the developer was unable to fulfill its obligations to creditors and was declared bankrupt.

Shortly before the initiation of the bankruptcy case, the director of the company resigned without transferring the documents and property of the developer to the new manager. Due to the lack of documents, the liquidator was deprived of the opportunity to identify the debtor's property in sufficient volume to pay off the claims of all creditors.

During the consideration of the case, the former director tried to create the appearance of transferring the documents to the liquidator by transferring an insignificant amount of documentation.

Lawyers of PB Legal | Panin, Bayramkulov & Partners managed to prove that the actions of the former manager were unfair, and the transferred documents were not sufficient to release him from liability.

On May 31, 2021, the Arbitration Court of the Yamalo-Nenets Autonomous Okrug agreed with the arguments of our lawyers and brought the defendant to subsidiary liability.

Representatives of the Ministry of Economic Development of the Russian Federation and specialists in the Expert group "Corporate management, Special Administrative Regions, Bankruptcy, Audit" of this Ministry also took part in the section.

Alexander discussed with his colleagues the development of "trust" mechanisms of special administrative regions (SAR). According to the view of the Ministry of Economic Development, such mechanism shall be implemented by establishing an international fund, which is entitled to dispose of the property and allot profits to individuals.

Alexander touched upon the opportunities provided by the new type of international funds, as well as the degree of protection of the rights of founders and beneficiaries. He expressed the opinion that the list of methods of protection should be made as wide as possible, while the founders and beneficiaries should be able to demand from the international fund to provide any documents related to its activities, as well as challenge the transactions of the international fund concluded to the detriment of it.

By the decision of the Government Commission for Economic Development and Integration of March 26, 2020, Alexander Panin was included in the Expert Group "Corporate management, Special Administrative Regions, Bankruptcy, Audit" under the Ministry of Economic Development. Alexander also took an active part in the development of draft laws related to the creation of trust in the Russian jurisdiction.

A large Kazakh mining company handed over equipment to an independent contractor. The latter handed it over to a subcontractor which constituted a breach of contract.

A large Kazakh mining company handed over equipment to an independent contractor. The latter handed it over to a subcontractor which constituted a breach of contract. Then an independent contractor stopped communicating and the subcontractor withheld the equipment to secure the payment obligations.

Despite the difficulties due to the cross-border nature of the case, PB Legal | Panin, Bayramkulov & Partners specialists managed to work out favorable conditions for both parties regarding the procedure for the transfer of equipment. Thus, PB Legal | Panin, Bayramkulov & Partners lawyers made it possible to settle the dispute amicably and eliminate the risks associated with litigation for the client.

Alan Bayramkulov gave an expert opinion on Russian law in The High Court of Justice in London.
One of the questions in issue was the High Court's jurisdiction to hear a claim for damages in a case, all parties to which were Russian.

One of the questions in issue was the High Court's jurisdiction to hear a claim for damages in a case, all parties to which were Russian. In order to hear the case on the merits, the High Court had to establish whether it was a more convenient venue than a Russian court.

Acting as an expert, Alan gave a legal opinion on complicated and vague issues of Russian law related to, inter alia, choosing an appropriate forum. The legal opinion cast light upon such issues as calculation of damages, competing claims, and concurrent jurisdiction.

At the end of March, the High Court rendered a judgment in favor of the plaintiffs who referred to Alan's legal opinion. The High Court ruled that it exercised jurisdiction over the case.

    PB Legal | Panin, Bayramkulov & Partners team successfully represented the Client in a dispute over challenging transactions in a bankruptcy case.
    We managed to defend the Client's interests in the Arbitrazh Court of the Tyumen Region and prevented the invalidation of the transactions.

    We managed to defend the Client's interests in the Arbitrazh Court of the Tyumen Region and prevented the invalidation of the transactions. The Debtor's administrator unreasonably challenged the debt recovery transactions in favour of the Client's subsidiary for 1.7 billion rubles.

    Our team developed a strategy to defend the Client. The Court supported PB Legal | Panin, Bayramkulov & Partners's position stated in an answer due to the following:

    • There were no creditors who might have been harmed by the repayment of the loans;
    • Financing of the debtor’s loans by a new shareholder improved the Client's financial status.

    Thus, there were no grounds to challenge the transactions under the Russian Federal Law on Bankruptcy.
